These Terms of Service ("Terms") govern your access to and use of the products, services, and websites (collectively, the "Services") provided by Laight AI Inc. ("Laight AI", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Services, you confirm that you (a) are at least 18 years of age, (b) have the legal authority to enter into a binding agreement, and (c) agree to comply with these Terms and all applicable laws.
If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Description of Services
Laight AI provides a SaaS-based advertising analytics platform that connects to third-party advertising platforms (e.g., Meta, Google, TikTok) via official APIs, ingests advertising performance data through a proprietary ETL pipeline, and delivers analytical insights and reports.
3. Account Registration
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the confidentiality of your account credentials
- Be responsible for all activities under your account
- Notify us immediately of any unauthorized use or security breach
4. Authorization to Access Third-Party Platforms
To provide the Services, you may authorize Laight AI to access third-party advertising platforms (such as Meta) on your behalf via OAuth or similar authentication methods. You represent and warrant that:
- You have all necessary rights and authority to grant this access.
- Your use of the Services complies with the terms of each connected third-party platform.
- You are solely responsible for the data you authorize us to access.
You also hereby expressly authorize Laight AI to access, retrieve, and process data from your Meta advertising accounts via Meta APIs solely for the purpose of providing analytics and reporting services. Laight AI shall only access the specific data points for which you have granted permission through the Meta Login or Business Asset authorization flow.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose
- Reverse engineer, decompile, or disassemble any part of the Services
- Interfere with or disrupt the Services or servers
- Access the Services using automated systems beyond what is permitted
- Resell, sublicense, or transfer the Services without our prior written consent
- Upload viruses, malware, or other malicious code
- Violate any applicable third-party platform terms (including Meta Platform Terms)
In addition to these Terms, you agree to comply with all applicable terms and policies of third-party platforms connected to the Services, including but not limited to the Meta Platform Terms and Meta Developer Policies. Any action that violates these third-party terms shall be deemed a material breach of these Terms.
6. Customer Data and Ownership
- Your Data: You retain all rights, title, and interest in and to the data you provide or that we collect on your behalf ("Customer Data").
- License to Laight AI: You grant Laight AI a non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, and display Customer Data solely as necessary to provide the Services.
- Aggregated/Anonymized Data: We may use de-identified, aggregated data for service improvement, benchmarking, and analytics, provided it cannot identify you or your customers.
7. Intellectual Property
All rights, title, and interest in and to the Services, including software, designs, trademarks, and documentation, are owned by Laight AI or its licensors. Nothing in these Terms transfers ownership rights to you, except for the limited license to use the Services.
8. Fees and Payment
- Fees for paid Services are described on our website or in a separate order form.
- All fees are non-refundable unless otherwise stated.
- We may modify pricing with at least 30 days' prior notice.
- Late payments may result in suspension of Services and accrual of interest at the lesser of 1.5% per month or the maximum rate permitted by law.
9. Term and Termination
- These Terms remain in effect until terminated by either party.
- You may terminate your account at any time by following the cancellation procedure within the Services or contacting contact@laight.ai.
- We may suspend or terminate your account for breach of these Terms, non-payment, or as required by law.
- Upon termination, your right to use the Services ceases immediately, and we may delete your data in accordance with our Privacy Policy and Data Deletion Policy.
10. Confidentiality
Each party agrees to protect the other party's confidential information using the same degree of care as it uses for its own confidential information (and at least reasonable care), and not to disclose or use such information except as permitted under these Terms.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. LAIGHT AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAIGHT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO LAIGHT AI IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless Laight AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights or applicable laws, or (d) Customer Data submitted by you.
14. Third-Party Platforms
The Services may interoperate with third-party platforms (e.g., Meta, Google). We are not responsible for the availability, accuracy, or content of such platforms. Your use of third-party platforms is governed by the terms and policies of those platforms.
15. Data Security & Breach Notification
Laight AI implements industry-standard security measures to protect data retrieved from third-party platforms. In the event of a confirmed security breach involving Meta Platform Data, Laight AI will notify the affected users and Meta as required by applicable laws and Meta’s Developer Policies.
16. Modifications to the Services and Terms
We reserve the right to modify or discontinue the Services at any time. We may also revise these Terms; material changes will be communicated at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively in the Seoul Central District Court, Republic of Korea, unless otherwise required by mandatory law.
18. Force Majeure
Laight AI shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, labor disputes, or internet outages.
19. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and Laight AI.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Assignment: You may not assign these Terms without our prior written consent.
- No Waiver: Failure to enforce any provision does not constitute a waiver.
